TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the Minimum Stress platform, including our website, any applications, booking tools, marketplace features, digital content, and related services (collectively, the “Platform”).

Minimum Stress Consulting Services LLC (“Minimum Stress,” “we,” “us,” or “our”) operates as a multi-vendor wellness marketplace. The Platform enables users to discover, purchase, book, and access wellness-related physical products, digital content, sessions, packages, and events offered by independent third parties. Minimum Stress provides the Platform infrastructure and marketplace functionality only.

By accessing or using the Platform, you agree to these Terms. If you do not agree, you must not access or use the Platform.

PLATFORM ROLE AND SCOPE

Minimum Stress is not a healthcare provider and does not provide medical services, therapy, diagnosis, emergency services, or clinical care. Minimum Stress is not the employer, partner, agent, contractor, or representative of any provider, instructor, host, seller, or other third party listed on the Platform. Minimum Stress operates solely as a technology and marketplace intermediary that facilitates discovery, booking, payment processing, and access to offerings, and may provide customer support related to Platform operations. All services, products, events, and digital content available through the Platform are offered, owned, supplied, hosted, or delivered by independent third-party providers (“Providers”). Providers act independently and remain solely responsible for their offerings, including content, quality, safety, compliance, performance, and outcomes.

USER TYPES AND ACCOUNTS

The Platform may be used by clients who purchase products, book sessions, access digital content, or attend events. The Platform may also be used by Providers, including those who offer services, sessions, events, physical products, or digital content. Some Providers may operate as sellers or fulfillment partners. Platform administrators manage marketplace operations. Any account you create must contain accurate information, and you are responsible for maintaining the confidentiality of your account and for all activity that occurs under it.

MARKETPLACE OFFERINGS AND AVAILABILITY

The Platform may include physical wellness products, digital products, one-on-one or group wellness sessions, session packages, live or recorded events, booking tools, scheduling tools, payment facilitation, and discovery features such as reviews and ratings. Minimum Stress does not guarantee availability, suitability, quality, outcomes, results, or that any offering will meet your expectations. Providers may change, cancel, reschedule, update, or discontinue offerings. Minimum Stress may modify or remove listings, features, or content at any time.

PHYSICAL PRODUCTS AND THIRD-PARTY FULFILLMENT

Physical products listed on the Platform are offered by third-party sellers or fulfillment partners and may be shipped directly from suppliers, manufacturers, or retail partners. Minimum Stress does not manufacture, warehouse, or ship physical products. Delivery timelines displayed on the Platform are estimates and may vary by supplier, carrier, region, inventory, or external conditions. Product descriptions, specifications, compliance statements, warranties, and safety information are provided by third parties. To the maximum extent permitted by law, Minimum Stress is not responsible for product defects, manufacturer warranties, labeling, recalls, safety issues, or compliance obligations, which remain the responsibility of the seller, supplier, or manufacturer. Returns, exchanges, and refunds for physical products are governed by the applicable return policy for the specific product and may vary by item and supplier.

DIGITAL PRODUCTS AND LICENSE TERMS

Digital products may include meditation audio, recorded sessions, educational materials, and video or audio courses, whether downloadable or streamed. All digital products are licensed to you for personal, non-commercial use and are not sold, unless explicitly stated otherwise. This means you receive a limited permission to access and use the digital product, but ownership and intellectual property rights remain with the Provider or other rights holder. Unless otherwise stated on the product page or required by law, digital product sales are final and non-refundable once access is granted or delivery occurs. You may not copy, reproduce, distribute, share, resell, sublicense, publish, or otherwise exploit digital products except as expressly permitted by the rights holder. Minimum Stress may disable access to digital products where required by law, to enforce these Terms, or due to third-party rights claims.

SESSIONS, PACKAGES, AND COMPLETION

Sessions may be purchased individually or as part of a package. Each session is treated as a separate unit of service. A package represents a bundle of sessions and does not guarantee completion or outcomes. Completion status is determined by the Platform’s booking system and records. Provider compensation and Platform commission, where applicable, are earned per completed session. No rights accrue for uncompleted sessions beyond what is expressly stated in the applicable Refund & Cancellation Policy and any clearly displayed product or booking terms. You are responsible for arriving on time, maintaining an appropriate environment, and ensuring stable connectivity for online sessions. Late arrival does not extend a session beyond its scheduled end time.

EVENTS

Events may be hosted online or in person by independent hosts. Event policies may vary by host and may include rules related to attendance, start times, rescheduling, cancellations, refund windows, venue requirements, safety guidelines, and force majeure circumstances. Minimum Stress does not control event venues, host performance, event execution, or attendee conduct, and is not responsible for venue conditions, host actions, cancellations, delays, or changes. Any event-specific terms disclosed at the time of purchase or registration govern your participation in that event.

PAYMENTS, FUNDS HOLDING, DISPUTES, AND WEEKLY PAYOUTS

All payments on the Platform are processed through Platform payment processors. Clients pay Minimum Stress for marketplace transactions, and Minimum Stress facilitates payouts to Providers under the Platform’s payout rules. Funds may be temporarily held to support session completion, event occurrence, applicable refund windows, dispute resolution, risk controls, fraud prevention, and chargeback management. Providers earn compensation only for completed sessions, fulfilled events, or delivered products as recognized by Platform records. Payouts to Providers are issued on a weekly basis and represent the total amount earned for completed units during the relevant payout period, minus Platform commissions, payment processing fees, refunds, chargebacks, disputes, adjustments, or other amounts permitted by these Terms and applicable policies. Minimum Stress may delay, adjust, offset, or withhold payouts where there is a pending dispute, refund request, suspected fraud, chargeback exposure, policy violation, incomplete payout information, or legal compliance requirement. Providers are solely responsible for taxes and reporting obligations.

CANCELLATIONS, NO-SHOWS, AND REFUNDS

Refund eligibility, rescheduling, cancellations, and no-show treatment are governed by the Platform’s Refund & Cancellation Policy and any clearly stated terms presented during checkout or booking. For sessions, the Platform standard requires at least twenty four hours notice to cancel or reschedule. Sessions missed without the required notice may be considered used and forfeited. Digital products are generally non-refundable once access is granted or delivery occurs, unless otherwise required by law or explicitly stated. For physical products, returns and refunds follow the applicable product return policy. Minimum Stress may make final determinations on refund outcomes in order to enforce Platform rules consistently and manage risk, while recognizing that certain decisions may be constrained by payment processor rules or legal requirements.

PROVIDER STATUS, LISTINGS, AND PLATFORM DISCRETION

Providers operate independently and are not entitled to minimum earnings, guaranteed visibility, ranking, promotion, or any specific volume of bookings. Minimum Stress may review, approve, reject, modify, suspend, or remove listings at any time, and may suspend or terminate Provider access at its discretion to maintain marketplace quality, comply with law, manage risk, or protect users. Minimum Stress may also limit access to certain features, categories, or payment functions based on compliance, verification, or operational requirements.

WELLNESS AND MEDICAL DISCLAIMER

The Platform and all content, sessions, and digital products are provided for educational and general wellness purposes only. The Platform is not intended to diagnose, treat, cure, or prevent any disease, and does not replace professional medical advice, diagnosis, or treatment. If you have a medical or mental health concern, you should seek advice from a qualified healthcare professional. If you believe you may be experiencing an emergency, call emergency services immediately. You acknowledge that participation in movement, breathwork, meditation, coaching, or similar activities involves inherent risks, and you assume responsibility for your participation, including consulting with a professional where appropriate.

USER CONTENT, REVIEWS, AND FEEDBACK

Users may submit reviews, comments, messages, and other content. By submitting content, you grant Minimum Stress a perpetual, worldwide, royalty-free license to host, use, reproduce, display, modify, and distribute that content for Platform operations, marketing, and trust and safety purposes, subject to applicable law. Minimum Stress may moderate, remove, restrict, or refuse to publish content at its discretion, including where content is misleading, abusive, infringing, unlawful, or inconsistent with Platform standards.

ACCOUNT SUSPENSION AND TERMINATION

Minimum Stress may suspend or terminate accounts, access, or listings at any time. Upon termination, access may be revoked. Pending payouts may be withheld or adjusted to resolve disputes, refunds, chargebacks, or policy enforcement. Minimum Stress does not guarantee ongoing data retention and may delete account data in accordance with law and operational needs.

DISCLAIMER OF WARRANTIES
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” MINIMUM STRESS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. MINIMUM STRESS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY OFFERING WILL ACHIEVE ANY PARTICULAR RESULT.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, Minimum Stress is not liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost data, or business interruption, arising out of or related to your use of the Platform or any Provider offering. To the extent Minimum Stress is found liable for any claim, Minimum Stress’s total liability will not exceed the total amounts paid through the Platform by you in the twelve months preceding the event giving rise to the claim.

INDEMNIFICATION

You agree to indemnify and hold harmless Minimum Stress, its officers, directors, employees, and affiliates from claims, damages, losses, liabilities, and expenses arising from or related to your use of the Platform, your interactions with Providers or clients, your content submissions, your violation of these Terms, or your violation of any law or third-party rights.

ARBITRATION AND CLASS ACTION WAIVER

To the maximum extent permitted by law, disputes arising out of or relating to these Terms or the Platform will be resolved by binding arbitration on an individual basis and not in a class, collective, or representative action. You and Minimum Stress waive any right to participate in a class action or class arbitration. Where arbitration is not permitted under applicable law, disputes will be resolved in the courts located in California, and you consent to jurisdiction and venue in those courts.

GOVERNING LAW

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.
